Schedule to the S4W Master Terms of Service

These Usage Terms (“Schedule”) supplement—and are governed by—the Master Terms of Service available at https://s4w.com/terms (“Master Terms”). Capitalised terms not defined here have the meaning given in the Master Terms. If there is any conflict, this Schedule prevails for the Voicerr.ai service only.
S4W L.L.C-FZ (licence 2529741, Dubai) (“S4W”, “we”, “us”) provides a cloud-hosted voice-AI assistant that:
answers and routes inbound telephone calls;
generates and stores call recordings and transcripts (12-month default retention); and
presents usage metrics and configuration options via a web dashboard.
The Service cannot place or receive emergency calls (e.g., 999 / 112 / 911) and is not a replacement for traditional telephony in emergencies.
You (“Client” or “you”) may access the Service solely for lawful business purposes and in accordance with:
the Acceptable-Use Policy in Clause 8;
any usage limits (e.g., minutes, concurrent calls) shown during checkout; and
applicable laws and regulations (including telecommunications and privacy laws).
S4W may suspend or throttle the Service without notice if continued use threatens platform security, integrity, or availability or violates this Schedule.
You must:
provide accurate account information and keep it current;
maintain the confidentiality of login credentials; and
ensure that only authorised personnel access the dashboard.
You are responsible for all activities conducted under your account, including those by end-users or representatives.
All subscriptions, minute bundles, taxes, and refunds are processed via Stripe. The pricing and currency displayed at checkout constitute your “Fee Schedule” under the Master Terms.
Billing frequency: Charges are automatically collected monthly in the currency displayed at checkout.
Stripe receipts constitute valid tax invoices unless you request an S4W invoice.
Failure to settle a Stripe charge when due constitutes non-payment under the Master Terms.
S4W acts as processor of caller Personal Data and controller of usage analytics, as defined in the Master Terms. Both parties shall comply with all applicable data-protection legislation, including UAE Federal Decree-Law 45/2021, UK GDPR, and EU GDPR. Storage region, retention, transfer mechanisms, and data-subject rights are set out in the Master Terms and Privacy Policy (https://s4w.com/privacy-policy).
S4W endeavours to maintain 99 % monthly uptime. If uptime falls below this threshold, you are entitled—upon written request—to a service credit equal to 5 % of the monthly subscription fee for the affected month, capped at 20 % per calendar year. Service credits are the sole remedy for SLA breaches.
You shall not, and shall not permit others to:
initiate unsolicited bulk or automated calls without valid consent;
transmit unlawful, defamatory, or malicious content;
upload or distribute malware, viruses, or other harmful code;
probe, scan, or test the vulnerability of the Service or any S4W system;
reverse-engineer, decompile, or attempt to discover the Service’s source code or algorithms; or
use the Service in any manner that violates applicable law or third-party rights.
S4W and its licensors retain all right, title, and interest in and to the underlying platform, code, models, and frameworks. No ownership rights are transferred to you; the Service is provided under a non-exclusive, non-transferable licence, subject to the usage limits in Clause 3.
You retain ownership of all materials and data you supply. Output generated for you is licensed in accordance with the Master Terms.
Each party shall keep the other party’s Confidential Information strictly confidential and use it only for the performance or receipt of the Service, subject to the exceptions in the Master Terms.
The Agreement starts when you complete the Stripe checkout and continues on a rolling month-to-month basis (or such other billing cycle selected in Stripe) until terminated:
by either party on 30 days’ written notice (or via the Stripe customer portal); or
immediately by a party for the other party’s material breach or insolvency, in accordance with the Master Terms.
Upon termination, S4W will provide read-only dashboard access for 30 days; data is deleted 60 days after the termination date unless retention is legally required.
Except as expressly stated in this Schedule or the Master Terms, the Service is provided “as is” without warranties of any kind. Liability caps, exclusions, and indemnities are as set out in the Master Terms.
Unless both parties are UAE-domiciled and agree in writing to apply UAE law, this Schedule and any non-SOW dispute are governed by English law, and the courts of England & Wales have exclusive jurisdiction.
